Terms and Conditions The following Terms and Conditions must be accepted before you can proceed with your registration for paid services. By accessing or using this web site, you agree to be bound by the terms and conditions set forth below. If you do not wish to be bound by these terms and conditions, you are expressly forbidden to access or use paid services of this web site. Language Studies Network Ltd is the publisher and
owner of LS-network.com and may modify this agreement at any time,
and such modifications shall be effective immediately upon posting
of the modified agreement on the site. You agree to review the
agreement periodically to be aware of such modifications and your
continued access or use of the site shall be deemed your conclusive
acceptance of the modified agreement. 1.1 The Customer warrants that the data provided to the Customer via LS-Network will only be used for the Customer's own use and (not by way of limitation) will not be used in the compilation of or merged with any directories or databases in any form or medium or copied or published in any form or medium for the purposes of sale, lease, rental or otherwise supplied to any third party in whole or in part. 1.2 The Customer acknowledges that the special password issued to the Customer to enable access to the Services is for the use of the Customer only and is not transferable and the Customer agrees not to permit its use by or disclosure to any third party. 2. Charges 2.1 Charges (where applicable) are correct at the time of issue but may be subject to amendment without notice at any time. 2.2 All charges are payable in advance by credit or debit card. 3. Copyright Copyright in all information published via LS-network.com and in any database of such information compiled for the purpose of providing the Services is the property of Language Studies Network Ltd and may not be published, copied, sold, licensed or reproduced in any form or medium, save with the prior written consent of Language Studies Network Ltd. 4. Indemnity Without prejudice to any other rights and remedies which Language Studies Network Ltd may have, the Customer shall indemnify Language Studies Network Ltd against any costs, claim demands or expenses incurred or sustained by Language Studies Network Ltd by reason of any breach of these Terms and Conditions. 5. Limitation of Liability 5.1 Language Studies Network Ltd endeavours to provide correct and truthful information, but does not make any representation or give any warranty expressed or implied as to the accuracy or completeness of the service or its fitness for any particular purpose and any such warranty is hereby excluded. 5.2 Neither LS-network.com nor Language Studies Network Ltd shall be liable to the Customer on any account nor for any loss (including any indirect or consequential loss), damage, cost or expense suffered or incurred by the User or other third parties arising from the supply or use of the Services (including liability for any delay or non-availability of the Services or any defects, inaccuracies or errors therein). 6. Duration and Termination 6.1 LS-network.com shall be entitled to suspend provision of the service in whole or in part in the event of circumstances arising beyond its control. 7. Force Majeure 7.1 Neither Language Studies Network Ltd nor its partners shall be liable for any failure, delay or omission arising out of any cause beyond their reasonable control: including (but not limited to) Acts or regulations of government or other authorities, fire, war, strikes or other industrial disputes, power failure, failure of telecommunications lines, connection or equipment or failure or defects in hardware or software. 8. Credit Card Terms 8.1 You are paying for your order by credit card,
so we are stating our conditions and terms of trade. 9. Refund Policy 9.1 There are no refunds on memberships or services as they are delivered online upon payment. Once Language Studies Network Ltd has received payment, you are granted full access to the LS-Network database. Paid memberships cannot be put on hold and "banked" for use at a later time. If you deactivate your account, your membership will still expire based on the number of consecutive calendar days from the date your membership took effect. If you deactivate or cancel your account prior to the end of your membership period of either 30 or 90 days, Language Studies Network Ltd does not provide a prorated refund. Membership sales are final. 9.2 You can cancel your membership at any time. 10. General 10.1 These Terms and Conditions shall form the entire agreement between the parties regarding the Services and supersedes any prior agreements or arrangements or understandings, written or verbal. No variation shall be binding unless it is in writing signed by or on behalf of the parties. 10.2 The invalidity or unenforceability of any term or any right arising hereunder shall in no way affect the enforceability of the remaining rights or terms. 10.3 The Customer shall not be entitled to assign or transfer any of its rights or obligations under these Terms and Conditions to any other person. 10.4 These Terms and Conditions shall be governed and construed in accordance with English law and shall remain enforceable notwithstanding termination of this agreement.
